Change in Ownership (≥10%)
- If any person or entity acquires 10% or more ownership interest in the licensed business (directly or indirectly), an OOC must be filed with the Colorado Department of Revenue Liquor Enforcement Division (LED) and the local licensing authority.
- This includes changes in shareholders, partners, or members in corporations, LLCs, or partnerships.
Change in Corporate Officers
- If there is a change in corporate officers, directors, LLC managing members, or general partners—even if ownership does not change—an OOC filing is required.
- This includes resignations, replacements, or additions of individuals in positions of control or decision-making authority.
Conversions, Mergers, or Restructuring
- If the entity changes its structure (e.g., from LLC to Corporation), an ownership change may be triggered even if the same individuals are involved, depending on how the ownership interests shift.
